Terms of Service

The following terms of use ("Terms") govern the access or use by you (“you”, “your”, “yours”) of the application programming interfaces, software, source code, specifications and documentation and related materials ("Nadles"), which are made available and provided by Leotech s.r.o. ("Leotech") through Nadles' web site, nadles.com and/or its various mobile and other applications, (collectively, the "Site"), and to use Nadles' API monetization and analytics services so as to provide your customers the opportunity to obtain access to your services and data provided through your APIs. You understand that any grant of rights to you to use or access Nadles is conditioned upon and subject to your acceptance of these Terms and you acknowledge and understand that by accessing and/or using the Nadles services, you consent to be bound by these Terms.

License

Subject to these Terms, Leotech grants you a limited, non-exclusive, non-assignable, non-transferable license under Leotech's intellectual property rights during the Term of this agreement to use the Nadles to monetize, control access to, analyze the usage of your APIs or other resources or services supported by Nadles, and to let your customers use Nadles to obtain access to services and data provided by your APIs.

Terms and Conditions of License

You hereby agree to abide by the following non-exclusive list of terms and conditions in using or accessing Nadles and acknowledge that the license granted under these Terms is conditioned upon such compliance:

• You hereby acknowledge and agree that Leotech reserves the right to restrict access to, modify, suspend, or terminate Nadles or any of its constituent parts and that the availability of the Nadles services is not guaranteed and is subject to change.
• You are prohibited from performing any actions with the intent of introducing to the Nadles services any viruses, worms, defects, Trojan horses, malware, or any other items of a destructive nature.
• You are prohibited from defaming, abusing, harassing, stalking, or threatening others.
• You are prohibited from interfering with or disrupting the Nadles services or the servers or networks providing the Nadles services.
• You agree to use the Nadles services in a manner that complies with all applicable laws, rules, and/or regulations and you are prohibited from modifying, adapting, appropriating, reproducing, distributing, translating, creating derivative works or adaptations of, publicly displaying, republishing, repurposing, selling, trading, or in any way exploiting Nadles or Site except as expressly authorized by Leotech by these Terms.
• Refunds: Leotech may offer refunds at its discretion.

Non-Exclusivity

Nothing in these Terms shall limit a Leotech's ability to enter into arrangements and/or agreements with any third party.

Modifications to Terms

These Terms may be amended or modified at any time by Leotech in its sole discretion, by posting notice on the Site or by otherwise providing notice to you. Your continued use of or access to Nadles after any such changes constitutes your acceptance of the amendments to these Terms and should you not accepts such changes, you agree that your only recourse is to terminate this license at such time as such changes are implemented.

Third Party Content Accessible Through Nadles

You understand and agree that various third-party content can and will be accessible through the Nadles services (these include, without limitation text, images, videos and audio) (collectively, “Third Party Content”). You further understand and agree that any and all such Third Party Content is solely the duty and the responsibility of those parties, entities, individuals, and or persons that makes any and all such Third Party Content available. From time to time, Leotech may (but is not obligated to) review such Third Party Content to determine whether it is illegal or violates our policies or the Terms, and we may remove or refuse to display such Third Party Content. Also, you understand and agree, that any and all such Third Party Content that is accessible through the Nadles services may be subject to intellectual property rights (including but not limited to copyright, trademark, and rights of publicity), and, if so, you may not use such Third Party Content unless you are licensed to do so by the owner of that Third Party Content or are otherwise permitted by law. Your access to the Third Party Content made accessible by Nadles may be restricted, limited, or filtered in accordance with applicable law, regulation, and policy (but it is not Nadles' obligation or duty to do so).

Warranty Disclaimer

While Leotech endeavors to make Nadles continuously available, Leotech cannot and does not guarantee any up-time or availability for Nadles. NADLES AND ANY THIRD PARTY CONTENT MADE ACCESSIBLE BY NADLES ARE PROVIDED “AS IS” WITH NO WARRANTY, EXPRESS OR IMPLIED, OF ANY KIND AND WE EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS, INCLUDING ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AVAILABILITY, SECURITY, TITLE, AND NON-INFRINGEMENT. SOME OF NADLES FUNCTIONS ARE EXPERIMENTAL AND HAVE NOT BEEN TESTED IN ANY MANNER. WE DO NOT REPRESENT, WARRANT OR MAKE ANY CONDITION THAT NADLES AND ANY THIRD PARTY CONTENT MADE ACCESSIBLE BY NADLES ARE FREE OF INACCURACIES, ERRORS, BUGS, OR INTERRUPTIONS, OR ARE RELIABLE, ACCURATE, COMPLETE, OR OTHERWISE VALID. YOUR USE OF NADLES AND ANY THIRD PARTY CONTENT MADE ACCESSIBLE BY NADLES IS AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE THAT RESULTS FROM USE OF NADLES AND ANY THIRD PARTY CONTENT MADE ACCESSIBLE BY NADLES, INCLUDING FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US OR THROUGH OR FROM OUR SITE, OUR PRODUCTS, OR OUR SERVICES WILL CREATE ANY WARRANTY OR CONDITION NOT EXPRESSLY STATED IN THESE TERMS.

Limitation of Liability

YOU AGREE TO THE FOLLOWING LIMITATION OF LIABILITY TO THE EXTENT PERMITTED BY APPLICABLE LAW: YOU EXPRESSLY UNDERSTAND AND AGREE THAT LEOTECH WILL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF LEOTECH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (1) THE USE OR THE INABILITY TO USE NADLES AND ANY THIRD PARTY CONTENT MADE ACCESSIBLE BY NADLES; (2) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES; (3) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (4) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON OR IN NADLES AND ANY THIRD PARTY CONTENT MADE ACCESSIBLE BY NADLES OR ANY LEOTECH SERVICES; OR (5) ANY OTHER MATTER RELATING TO NADLES AND ANY THIRD PARTY CONTENT MADE ACCESSIBLE BY NADLES OR ANY LEOTECH SERVICES. UNDER NO CIRCUMSTANCES WILL LEOTECH'S AGGREGATE, CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, UNDER ANY THEORY OF LIABILITY, EXCEED ONE THOUSAND CZECH KORUNAS (CZK 1000).

Termination

Leotech reserves the right terminate your access to Nadles at any time for any reason, with or without notice.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Czechia, without regard to its conflict of law provisions.
